The terms and conditions governing your use of Dockvio's platform, services, and all associated agreements.
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("the Client", "you", "your") and Dockvio ("the Company", "we", "us", "our"). By registering on our platform, accessing our client portal, or commissioning any technology service or software product from us, you agree to be fully bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. We reserve the right to modify these Terms at any time; material changes will be communicated in advance and the updated version will be effective from the date published.

The specific scope of work for each engagement is defined in a written Project Agreement or Statement of Work ("SOW") agreed upon by both parties before development commences. These Terms apply across all engagements unless expressly overridden by a signed contract.
Access to the Dockvio client portal is granted upon account creation and is personal to the registered account holder. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised access or suspected security breach. We reserve the right to suspend or terminate accounts that violate these Terms, are linked to fraudulent activity, or remain inactive for an extended period. We are not liable for any loss resulting from your failure to safeguard your credentials.
All projects begin with a scoping and proposal phase, culminating in a signed Project Agreement or SOW that documents the agreed deliverables, acceptance criteria, milestone schedule, and pricing. This document forms the binding basis for the engagement. Any additions, alterations, or expansions to the scope after sign-off must be formally requested in writing and are subject to a change order process that may affect timelines and costs. Verbal instructions to expand scope will not be actioned until documented and agreed. Dockvio will not be held liable for delays or cost overruns arising from undocumented scope changes.
Fees for each project are set out in the relevant Project Agreement. Unless otherwise agreed, billing is structured on a milestone basis tied to the delivery of defined deliverables. Invoices are issued upon milestone completion and are payable within the period specified on the invoice from the date of issue. Late payment may result in a pause on active development until outstanding amounts are settled. Dockvio reserves the right to charge interest on overdue balances in accordance with applicable law. All fees are exclusive of applicable taxes (including GST) unless explicitly stated otherwise, and the Client is responsible for any taxes applicable to the services received.
Upon receipt of full and cleared payment for a given milestone or project phase, all intellectual property rights — including copyright — in the custom deliverables produced specifically for that engagement are assigned to the Client. The following exceptions and conditions apply:
Each party agrees to treat as strictly confidential all non-public information disclosed by the other party in connection with this engagement, including but not limited to business strategy, technical architecture, source code, financial terms, and client data. Neither party shall disclose such information to any third party without the prior written consent of the disclosing party. This obligation applies during the term of the engagement and for a period of three years after its conclusion. Dockvio will not reference your business in any public statement or marketing material without your prior written approval. These confidentiality obligations do not apply to information that is publicly known, independently developed, or required to be disclosed by law.
Dockvio warrants that all services will be performed with professional competence, reasonable care, and in accordance with the documented scope of the applicable Project Agreement. Deliverables will be tested against the acceptance criteria defined in the SOW prior to handover. Following final delivery of each milestone, Dockvio provides a post-delivery support window of 30 days during which defects that are attributable to our work and fall within the originally agreed scope will be remedied at no additional charge. Dockvio is not responsible for delays, quality issues, or cost increases caused directly by the Client's failure to fulfil these responsibilities.
To the fullest extent permitted by applicable law, Dockvio's aggregate liability to the Client for any and all claims arising from or in connection with any single project engagement shall not exceed the total fees paid by the Client for that engagement in the three calendar months immediately preceding the claim. In no circumstances shall Dockvio be liable for any indirect, special, incidental, consequential, or punitive damages, including loss of revenue, loss of profits, loss of data, loss of business opportunity, or reputational harm, regardless of whether such losses were foreseeable or whether Dockvio had been advised of the possibility of such damages.
Neither party shall be in breach of these Terms or liable for failure to perform its obligations where such failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, civil unrest, cyberattacks on third-party infrastructure, or telecommunications failures. The affected party must notify the other in writing as soon as reasonably practicable. If a force majeure event continues for more than 30 days, either party may terminate the affected engagement with written notice, and the Client will be liable only for work completed prior to the force majeure event.
Either party may terminate an active project engagement by providing 14 days' written notice. In the event of termination:
Dockvio reserves the right to terminate immediately and without notice in the event of non-payment of overdue invoices, material breach of these Terms, or conduct that exposes our team, systems, or reputation to harm. Termination does not affect any accrued rights or obligations of either party prior to the termination date.
In the event of a dispute arising from or in connection with a project engagement, the parties agree to first attempt resolution through good-faith discussion between senior representatives within 14 days of the dispute being raised in writing. If the dispute cannot be resolved through discussion, the parties agree to escalate to non-binding mediation before initiating formal legal proceedings. Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from a competent court where circumstances require.
These Terms and all project agreements entered into with Dockvio are governed by and construed in accordance with the laws of India. Any disputes that cannot be resolved through the process described in Clause 13 shall be subject to the exclusive jurisdiction of the courts of India.
If any provision of these Terms is found by a court of competent jurisdiction to be unlawful, void, or unenforceable, that provision will be severed from the remainder of these Terms, which will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the intent of the original.
These Terms, together with any signed Project Agreement or SOW, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior negotiations, representations, or agreements, whether written or oral. No amendment to these Terms shall be binding unless made in writing and signed by authorised representatives of both parties.
